Terms of Service

1. Agreement

These Terms of Service (the “Terms”) form a binding agreement between you (“Customer”, “you”) and Margentic, CVR 45796086, Skovvejen 6, 3450 Allerød, Denmark, operating as Conversa (“Conversa”, “we”, “us”) covering your access to and use of the Conversa platform at getconversa.io, its associated Slack and Microsoft Teams applications, and any related APIs, dashboards, and services (collectively, the “Service”).

By creating an account, installing the Slack or Teams app, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you are authorised to bind that entity to these Terms.

2. The Service

Conversa provides AI agents that connect to your CRM, marketing, and customer-data platforms (such as Klaviyo, HubSpot, Salesforce Marketing Cloud, and Microsoft Dynamics 365) and let you ask questions about your data through a web dashboard, Slack, or Microsoft Teams. Responses are generated by large language models (LLMs) using data fetched on demand from your connected platforms.

The Service is a business tool for professional users. It is not intended for consumers, individuals under 16, or any use that is prohibited by these Terms or by applicable law.

3. Accounts and security

  • You must provide accurate, complete information when creating your account.
  • You are responsible for keeping your login credentials and any API keys you upload to Conversa confidential.
  • You are responsible for all activity that occurs under your account, including activity by your team members.
  • You must notify us promptly at [email protected] if you suspect any unauthorised use of your account.

4. Subscription plans, free trial, and fees

Conversa is offered on tiered subscription plans (currently Free, Starter, Growth, Scale, and Enterprise) described on our pricing page. Plans differ in monthly query limits, team members, and connected workspaces.

Free trial

New accounts begin on a 14-day free trial of the Free plan. No payment information is required during the trial. At the end of the trial, you may upgrade to a paid plan to continue using the Service. If you do not upgrade, your account will remain on a limited Free tier and queries beyond the monthly Free quota will be blocked.

Paid plans

  • Paid plans are billed monthly or annually in advance, in EUR, at the prices listed on our pricing page.
  • Subscriptions automatically renew at the end of each billing period until cancelled.
  • You can cancel at any time from your account billing portal. Cancellation takes effect at the end of your current paid period; the Service remains available until then.
  • You are responsible for all fees and applicable taxes incurred under your account.

Payment processor

Online payments are processed by Paddle.com Market Limited (“Paddle”), which acts as the merchant of record for Conversa subscriptions. Paddle handles checkout, payment, currency conversion, invoicing, and applicable sales tax / VAT. Your transactions are also subject to Paddle’s own terms and privacy policy, available at paddle.com/legal.

Refunds are governed by our separate Refund Policy.

5. Usage limits and fair use

Each plan includes a fixed number of queries per calendar month. One “query” is one user-initiated turn (a chat message in the web app or a mention/DM to the Conversa bot in Slack or Teams). Internal LLM steps and tool calls that make up a single answer count as one query.

Once you reach your monthly limit, additional queries are blocked until the next billing period or until you upgrade to a higher plan. We may also apply reasonable rate-limits to protect the stability of the Service.

6. Customer data and connected platforms

You retain all rights to the data you upload, connect, or generate through the Service (“Customer Data”). You grant Conversa a limited licence to host, process, and transmit Customer Data solely as needed to operate and improve the Service for you.

  • You are responsible for ensuring you have the right to connect any third-party platform (e.g. Klaviyo, HubSpot) to Conversa.
  • API credentials you provide are encrypted at rest using AES-256-CBC.
  • Conversa fetches data from connected platforms only on demand to answer your queries; we do not bulk-replicate your CRM databases.
  • We do not use your Customer Data to train any AI or machine learning models.

7. Acceptable use

You agree not to:

  • Use the Service to violate any applicable law, regulation, or third-party right.
  • Send spam, harassing, defamatory, or unlawful content through the Service.
  • Attempt to reverse engineer, decompile, scrape, or otherwise gain unauthorised access to the Service or its underlying models.
  • Resell, sublicense, or otherwise commercially exploit the Service without our written permission.
  • Upload content that contains viruses or other malicious code.
  • Use the Service to make decisions that have legal or significant effects on individuals (e.g. credit, employment, healthcare) without appropriate human review.

We may suspend or terminate accounts that violate this section, with or without notice depending on severity.

8. AI-generated content

Responses generated by Conversa are produced by AI and may be inaccurate, incomplete, or out of date. You are responsible for verifying any information used to make business decisions against your source data and applicable records.

You are also responsible for ensuring that your use of AI-generated outputs complies with the policies of any connected third-party platform and with applicable law.

9. Intellectual property

Conversa and its licensors own all rights, title, and interest in and to the Service, including the underlying software, design, trademarks, and documentation. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the Service for your internal business purposes during your subscription term.

Feedback you choose to share with us about the Service may be used by Conversa without restriction, on a non-confidential basis.

10. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Conversa disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate or fit for any specific purpose.

11. Limitation of liability

To the maximum extent permitted by law, Conversa’s total aggregate liability arising out of or relating to these Terms or the Service in any 12-month period will not exceed the fees you paid to Conversa for the Service during the 12 months preceding the event giving rise to the claim. In no event will Conversa be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenues, or lost data.

Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under applicable law.

12. Term and termination

  • These Terms apply from the moment you create an account until your account is closed.
  • You may close your account at any time by cancelling your subscription and contacting [email protected].
  • We may suspend or terminate your account if you breach these Terms, fail to pay fees when due, or use the Service in a way that endangers other customers or our infrastructure.
  • On termination, your access to the Service stops, and your data is deleted in accordance with our Privacy Policy.

13. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Material changes to the Terms will be posted on this page with an updated effective date and, where required, communicated to you by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of Denmark, excluding its conflict of laws rules. The courts of Copenhagen, Denmark have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
